Probably the scariest things in the whole movie are:
Doctor Octopus awaking and beating up(or worse, as you don't know how bad they get hurt" a bunch of doctors who are about to operate on him to remove his "tentacles". He basically grabs them(with huge mechanical tenticals) and throws them around the room and obviously really messes them up. It might be a little scary for a little girl, but little boys will probably love it.
Also, there's a scene in which Spidey has to stop a dissconnected train from going off course and basically killing a whole train car of passengers. The ordeal forces spidey to use his(superhumanly durable) body to slow the train, first by attempting to use himself as a break and then by making himself the center of a human bungee cord by shooting webbing on both sides of him and putting tremendous strain on himself by stretching his arms and torso almost to the breaking point trying to stop the train. The ordeal knocks spidey unconcious for a bit and it might be really sad for a little kid but it's over quickly.
I'm racking my brain and those are the only 2 scenes I could think of that might cause any kid to freak out, and that's really a stretch. There's no sex-stuff or anything close, there's no swearing that I remember. There is a scene where Harry Osborne(Peters best friend) hoveres over a tied up spiderman with a knife and the intention of killing him to avenge his father, but that's as far as it goes.
I'd say it's ok as long as the kid isnt' really sheltered or something.
