AT&T to Acquire T-Mobile USA from Deutsche Telekom
Edited on Sun Mar-20-11 02:27 PM by cal04
http://www.businesswire.com/news/home/20110320005040/en/ATT-Acquire-T-Mobile-USA-Deutsche-Telekom

-AT&T Inc.and Deutsche Telekom AG today announced that they have entered into a definitive agreement under which AT&T will acquire T-Mobile USA from Deutsche Telekom in a cash-and-stock transaction currently valued at approximately $39 billion. The agreement has been approved by the Boards of Directors of both companies.

AT&T’s acquisition of T-Mobile USA provides an optimal combination of network assets to add capacity sooner than any alternative, and it provides an opportunity to improve network quality in the near term for both companies’ customers. In addition, it provides a fast, efficient and certain solution to the impending exhaustion of wireless spectrum in some markets, which limits both companies’ ability to meet the ongoing explosive demand for mobile broadband.

With this transaction, AT&T commits to a significant expansion of robust 4G LTE (Long Term Evolution) deployment to 95 percent of the U.S. population to reach an additional 46.5 million Americans beyond current plans – including rural communities and small towns. This helps achieve the Federal Communications Commission (FCC) and President Obama’s goals to connect “every part of America to the digital age.” T-Mobile USA does not have a clear path to delivering LTE.

AT&T CEO Randall Stephenson’s key quotes from the release:

“This transaction represents a major commitment to strengthen and expand critical infrastructure for our nation’s future. It will improve network quality, and it will bring advanced LTE capabilities to more than 294 million people. Mobile broadband networks drive economic opportunity everywhere, and they enable the expanding high-tech ecosystem that includes device makers, cloud and content providers, app developers, customers, and more. During the past few years, America’s high-tech industry has delivered innovation at unprecedented speed, and this combination will accelerate its continued growth.”

And:

“This transaction delivers significant customer, shareowner and public benefits that are available at this level only from the combination of these two companies with complementary network technologies, spectrum positions and operations. We are confident in our ability to execute a seamless integration, and with additional spectrum and network capabilities, we can better meet our customers’ current demands, build for the future and help achieve the President’s goals for a high-speed, wirelessly connected America.”

And here’s Deutsche Telekom CEO René Obermann:

“After evaluating strategic options for T-Mobile USA, I am confident that AT&T is the best partner for our customers, shareholders and the mobile broadband ecosystem. Our common network technology makes this a logical combination and provides an efficient path to gaining the spectrum and network assets needed to provide T-Mobile customers with 4G LTE and the best devices. Also, the transaction returns significant value to Deutsche Telekom shareholders and allows us to retain exposure to the U.S. market.”

6. Not really happy with this as I both hate monopolistic acquisitions, don't like AT&T, and like
T-Mobile.

Usually it is the same folks that scram bloody murder in fear of a government monopoly over anything that are the first to not give a rat's ass when we move toward a corporate monopoly of a service.

The pricing and customer service of our limited carriers is not good for US consumers.

7. So much for the lauded rumors of a Sprint- TMobile merge
Yikes. This becomes a really worrisome level of consolidation, though obviously will help At&t in the long run.

9. $39 billion? Why don't we buy it and have free cell/data? That's only a few months of war!

18. No worries, mon frere.
http://www.ehow.com/about_6774807_cell-phone-service-contract-laws.html

I'll be awaiting that notice anxiously, both because I've regretted signing with T-Mobile since the day I signed and because my contract was extended when I annihilated my phone and accepted a discounted replacement; I've got 2 years from last week to go. Since I signed, the nature of the market has changed so much I could go to any other carrier and get the service I get now for $20-$30 cheaper monthly.

So...as soon as I can, I've bailing to go to Cricket.

21. I've haven't had any trouble or complaints about T-Mobile, though our
bill with them is a bit high. Your experience with them, however, does indeed suck. I'm already planning on moving to one of the cheap services with limited dings and whistles, like Boost or MetroPCS. It won't be much fun when I travel outside the service area, which is much more limited, but it's a damn site cheaper.

24. Yeah, my problem is...
I locked into a high data-transfer and minutes plan about six months before the rollout of "unlimited" plans at a rate cheaper than I pay.

22. I'm with you. Moving on to Boost or Straight Talk
Tired of paying twice what other people pay for the same service. I'm not one of those people who has to have the latest phone so I feel comfortable with this decision.

my cell phone company. I don't want their over priced service. In that respect, they're just like Comcast.

28. My carefully laid plan to disengage from AT&T this year has hit a snag
Was all bundled with them except for my cell. Cut out my cable for Roku. Changed my phone to Vonnage and Magic Jack. Was down to internet only which will change to CLEAR before they start charging exorbitantly May 2 for downloading.

Contract runs out in December. Hope they don't screw with it too badly until then.

31. Monopolistic assholes.
When this is done, we'll be down to AT&T, Verizon, and Sprint. Three large carriers splitting the market between them isn't a recipe for price-fixing at all - ask Bell, Rogers, and Telus.

This is ridiculous bullshit that should be blocked by regulators, if they aren't passed out from the Kool-Aid. Without medium-size carriers to undercut the large players, there's no incentive to innovate.
