The Party chair's proposal is actually better for Hillary than a 50% vote of delegates with the uncommitted going to Obama and Clinton getting the rest--she actually picks up a delegate.

I am suprised they Clinton camp isn't ready to grab that as the best realistic deal they can get out of it.

...in Michigan is not just to get 100% of the delegates she feels she's entitled to, but DENY Obama picking up any delegates. So in literal terms, she really thinks that only votes for her count. People, states, districts, delegates, only those that support her matter.
