Legal counsel recommendation, anyone?

Legal counsel recommendation, anyone?
A close friend of mine has a severe problem -- he paid about half a mil (up front :-() for a gas station franchise that was actually bleeding money but that they represented to him as making money. He has been hemorrhaging money for the past 16 months that he has owned this joint.

For the past 6 months he has been bringing customers to buy it from him, but the franchiser will not accept any of them.

Any ideas/suggestions (even of legal contacts)?
