The negotiations in 1999 probably went something like this:
Romney as CEO of Bain: "Give me $200 million, and I'll leave."
Romney as chief negotiator of Bain: "We're prepared to offer you $100 million to leave."
Romney as CEO of Bain: "Tell you what, I'll come down to $195 million, and you throw in a mansion and a horse for Ann."
Romney as chief negotiator of Bain: "We'll sweeten it to $105 million and the mansion, but just the horse's ass."
Romney as CEO of Bain: "Make it $190 million, two mansions and the whole horse. Ann's already married to a horse's ass."
Romney as chief negotiator of Bain: "That sounds like something you and I could both live with. Let me think about it for three years or so, and I'll have the papers drawn up when I'm done."
Romney as CEO of Bain: "Deal. Let's shake on it."
His right hand shakes his left hand, and the rest is history.

That's why, in response to abuse, there's sometimes a push for "independent Director(s)."
